The Chinese American Association of Commerce Foundation is governed by a Board of Directors consisting of ten (10) directors.

美國華商總會，基金會由十（10）位董事組成之董事會負責治理。

The Board bears collective responsibility for oversight, fiduciary duty, and long-term stewardship of the Foundation in accordance with its Articles of Incorporation and Bylaws.

董事會依據公司章程及附例，承擔監督責任、受託義務及本基金會之長遠發展管理職責。

Officers are appointed in accordance with the Foundation’s governing documents and serve in roles defined by the Bylaws.

所有職員均依章程規定任命，其職責範圍由附例明確規定。

Governance Principles

治理原則

The Board of Directors operates under principles of fiduciary responsibility, collective decision-making, and compliance with applicable nonprofit law.

董事會依循受託責任原則、集體決策制度及相關非牟利法律規範運作。

Directors serve without private ownership interest in the Foundation. No part of the Foundation’s net earnings shall inure to the benefit of any individual except as permitted by law.

董事不享有本基金會之私人所有權益。基金會盈餘不得分配予任何個人，除依法允許之合理報酬外。
