Organizational Status

法律地位

The Chinese American Association of Commerce Foundation is a California nonprofit public benefit corporation duly organized under the laws of the State of California. It is recognized by the Internal Revenue Service as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code.

美國華商總會基金會為依據加利福尼亞州法律正式成立之非牟利公共利益法人機構，並獲美國國稅局核准為《國內稅收法》第 501(c)(3) 條款項下之免稅公益組織。

The Foundation is organized and operated exclusively for charitable and educational purposes within the meaning of federal and state nonprofit law.

本基金會依聯邦及州非牟利機構相關法律之規定，專為慈善及教育目的而設立及運作。

Relationship with CAAC

與美國華商總會之關係

The Foundation maintains a cooperative relationship with the Chinese American Association of Commerce (CAAC). While historically connected in mission and community engagement, the Foundation operates as a separate legal entity with its own governance structure and fiduciary responsibilities.

本基金會與美國華商總會（CAAC）保持合作關係，在宗旨與社區服務層面具歷史連結。然而，本基金會為依法獨立運作之法人機構，設有獨立之治理架構及受託責任制度。

The Foundation’s assets, governance, and operations are managed independently in accordance with its Articles of Incorporation and Bylaws.

本基金會之資產、治理及運作，均依其公司章程及附例獨立管理。

Public Benefit Purpose

公益宗旨

The Foundation was established to provide a stable and lawful charitable framework through which educational, cultural, and community-oriented initiatives may be supported and sustained.

本基金會之設立，旨在建立一個穩定且合法之慈善平台，以持續推動教育、文化及社區公益項目。

Its purposes include, but are not limited to:

本基金會之宗旨包括但不限於：

• Supporting educational programs and youth development initiatives

• 促進教育計劃及青年發展項目

• Encouraging cultural exchange and civic engagement

• 推動文化交流與公民參與

• Providing charitable assistance consistent with applicable law

• 在符合法律規範前提下推行慈善公益活動

Governance and Accountability

治理與責任

The Foundation is governed by a Board of Directors in accordance with its duly adopted governing documents. The Board bears responsibility for oversight, fiduciary duty, and long-term stewardship of the organization.

本基金會依據正式通過之章程文件，由董事會負責治理。董事會承擔監督、受託責任及長期發展之管理職責。

The Foundation is not organized for the benefit of any private individual or interest. No part of its net earnings shall inure to the benefit of any director, officer, or private person, except as reasonable compensation for services rendered in furtherance of its mission.

本基金會之設立並非為任何個人或私人利益服務。其盈餘不得分配予任何董事、職員或私人個體，惟依法支付合理服務報酬者不在此限。

The Foundation does not participate in political campaign activity and operates in compliance with applicable nonprofit regulations.

本基金會不參與任何政治競選活動，並嚴格遵守相關非牟利機構法律規範。
